Terms of Service

These Terms of Service ("Terms") are a contract between you and Oleksandr Kharybin, a sole trader registered in the United Kingdom trading as AEGIS Terminal ("we", "us", "the Company"). By accessing or using the AEGIS Terminal software and the website at aegis-terminal.com ("the Software", "the Service"), you confirm that you have read, understood and agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Service.

AEGIS Terminal is a professional software tool designed to assist experienced traders in executing their own trading strategies on supported cryptocurrency derivatives exchanges.

The Software is an execution and automation tool only. It does not constitute a Crypto-Asset Service Provider (CASP) or Virtual Asset Service Provider (VASP), provide financial advice, investment advice or investment recommendations, manage client funds or assets, execute trades on behalf of clients, or hold, custody or control user funds in any way.

All trades are executed through the User's own exchange account using the User's own API keys. The Company has no access to User funds at any time.

The Software and Service are not available to persons located in the United States of America or its territories, to retail clients in the United Kingdom, or to persons in any jurisdiction where use of the Software would violate local laws. Nothing on this site is an invitation to UK retail investors to engage in investment activity.

By using the Service, you represent and warrant that you are not located in the United States of America or its territories, that you are not a retail client in the United Kingdom, and that your use of the Software does not violate the laws of the jurisdiction in which you are located.

Use of VPN or other means to circumvent geographic restrictions is a material breach of these Terms and will result in immediate termination of your account without refund.

You must be at least 18 years of age to use the Service.

The Software is intended exclusively for professional and experienced traders who understand cryptocurrency derivatives trading, understand the risks involved in options trading, have their own active account on supported exchanges such as Deribit, and comply with all applicable local laws and regulations regarding cryptocurrency trading.

The Software is not suitable for retail investors, inexperienced traders, or persons who do not fully understand the risks of cryptocurrency derivatives.

Subject to these Terms and payment of applicable subscription fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Software for your personal professional trading activities.

You may not copy, modify, distribute or sell the Software, reverse engineer or decompile the Software, use the Software to build a competing product, share your license or account credentials with third parties, or use the Software on behalf of third parties without an Enterprise license.

The Software is provided "as is" and "as available" without warranties of any kind, either express or implied.

We expressly disclaim all warranties including fitness for a particular purpose, merchantability, non-infringement, uninterrupted or error-free operation, accuracy of market data, and suitability for any trading strategy.

To the maximum extent permitted by law, we shall not be liable for any trading losses of any kind, lost profits or revenue, missed trading opportunities, losses arising from software errors or bugs, losses arising from connectivity issues, losses arising from exchange downtime, or indirect, incidental or consequential damages.

Our total liability to you for any claim shall not exceed the amount you paid for the Software in the 3 months preceding the claim.

You acknowledge and agree that trading cryptocurrency derivatives involves substantial risk of loss, you may lose your entire investment, past performance is not indicative of future results, the Software does not guarantee profitable results, you are solely responsible for all trading decisions made using the Software, and you should only trade with funds you can afford to lose entirely.

You are solely responsible for ensuring your use of the Software complies with all applicable laws in your jurisdiction, paying all applicable taxes on trading gains, complying with the terms of your exchange account, maintaining the security of your API keys, and all trades executed through the Software using your credentials.

Subscription fees are billed in advance on a monthly or annual basis.

Refunds are handled under our Refund Policy at aegis-terminal.com/refund, which forms part of these Terms.

We reserve the right to change pricing with 30 days notice.

Failure to pay will result in suspension of access.

All rights, title and interest in the Software, including algorithms, source code, user interface and documentation are the exclusive property of AEGIS Terminal.

Nothing in these Terms grants you any rights to our intellectual property except the limited license in Section 5.

We may terminate or suspend your access immediately if you violate any provision of these Terms, are located in the United States, are a retail client in the United Kingdom, engage in abusive or fraudulent behavior, or attempt to reverse engineer the Software.

Upon termination, all licenses granted to you under these Terms immediately expire.

These Terms are governed by and construed in accordance with the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the new Terms.
